Implied Contract

Definition
An agreement that exists purely out of the expected conduct of two parties in which, absent a written contract, one of the parties would be unjustly disadvantaged at the expense of the other party's enrichment. In judicial theory, there is an implied offer and acceptance between two parties where one voluntarily accepts the benefits conferred upon him by another.
