Non-open Market

Definition
A type of agreement that is made directly with a company for purchasing or selling its shares. This sale or purchase does not take place on a market or exchange but rather a private type of transaction that occurs outside of the traditional market boundaries. The transaction does, however, still need to be filed with the Securities Exchange Commission (SEC).
